Lin is a deputy head of Banking, Finance and Capital Market Practice Group and Senior Advisor of Corporate, Commercial and Investment Practice Group at Sithisak Law Office.
PROFESSIONAL EXPERIENCES
Lin’s practices concentrate on corporate and commercial-related matters ranging from advising clients on business startups to formulating legal documents and agreements essential for the setting up and running of clients’ businesses. After joining Sithisak Law Office, Lin’s practicing areas has expanded to corporate and financial sectors focusing mainly on capital markets and investment funds related projects. Lin is currently assisting and advising company in formulating strategy, providing regulatory legal advices, and preparing essential legal documents in their capital raising ventures through public and/or private funds via issuance of fund units.
Additionally, Lin also actively coordinates and assists team in conducting legal due diligence exercises on capital market projects on the issuance of equity and debt securities at the exchange market. Lin is currently working with team members in assisting companies in their projects in the issuance of bonds and stocks in the exchange market with the scope of works ranging from preparing legal documents for their entity restructuring, corporate governance to preparing and reviewing of disclosure document, bond terms and conditions as well as preparing legal due diligence report for the client.
Lin’s recent projects:
- Reviewed, revised, and advised companies regarding their trust agreements in their compliance to the regulations regulated by the Trust Regulator of Cambodia.
- Advised a fund management company in their application for the registration of their first CIS fund with the SERC in addition to reviewing and revising on their trust agreement for the issuance of fund unit with a total value of 10 million United States dollars.
- Assisted a corporate group in strategizing and structuring their fundraising project, and preparing all essential legal documents and agreements for the raising of investment funds for real estate development of at least 20 million United States dollars.
- Coordinated and assisted team in conducting legal due diligence for a company, advised on the company restructure, corporate governance, and reviewed their disclosure document and bond terms and condition in preparation for their issuance of bonds to the public with the value of up to 30 million United States dollars.
